Terms of Service & Commercial Conditions

1. Dual Commercial Models

Mekong Origin Produce operates under two distinct commercial structures:

• Model A: Fruit Product Trading & Export: Mekong Origin acts as your commercial export partner, evaluating cooperative pricing, coordinating packhouse grading, arranging pre-shipment inspections (SGS/Vinacontrol), and issuing official proforma invoices and sales contracts.
• Model B: Independent Vegetable Sourcing Service: Mekong Origin is engaged for fixed-fee supplier research, audit, and negotiation services. Deliverables include detailed audit dossiers and supplier contacts. Sourcing fees are earned upon delivery of the agreed scope regardless of whether the client places orders directly with identified suppliers or contracts through Mekong Origin.

2. Sourcing Scope & Fee Terms

Customized vegetable sourcing agreements require a mutually agreed Scope of Work (SOW). Third-party costs (such as accredited laboratory residue testing, sample courier shipping, and external travel outside major agribusiness corridors) are quoted and billed separately at cost.

3. Quality Inspections & Cold-Chain Standards

Agricultural commodities are subject to natural harvest fluctuations. All fresh and frozen shipments adhere to agreed international Incoterms (typically FOB Cat Lai / Da Nang, CIF, or CFR). Pre-shipment quality certificates issued by independent surveyors represent final quality confirmation at port of loading unless otherwise specified in written contracts.

4. Intellectual Property & Website Use

All content, market analysis, harvest calendars, and visual assets on produce.mekongorigin.com are the proprietary property of Mekong Origin. Unauthorized scraping or republication is prohibited.

5. Governing Law & Dispute Resolution

All commercial contracts and service agreements are governed by Vietnamese commercial law and international trade guidelines (ICC Incoterms® 2020), with jurisdiction in Ho Chi Minh City, Vietnam.
